It would be easiest to do with a microcontroller, but I think you could get away with old fashioned logic chips.  A slow clock (555 or some such) feeds a counter chip (decade, etc).  The led is connected to outputs 1 and 3 (lets say) in parallel with a few 100 uF of capacitance (for the fade), most likely via a transistor or mosfet, to supply the extra current for charging the cap.  As the counter rolls through the numbers, the led appears to pulse.  Spacing between the on and off times is adjusted by choosing what outputs the led's transistor are connected to.
